North Bucks Archaeological Society - Constitution
Purpose

The purpose of NBAS is to investigate and further progress the archaeological knowledge and findings within the North Buckinghamshire area.

Powers

In furtherance of the purpose of NBAS, the following powers may be exercised, in accordance with the rules for Membership and Members' Meetings.

    The power to raise funds, providing that in raising funds, this shall not include undertaking substantial permanent trading activities and shall conform to any relevant requirements of the law.

    The power to buy (expenditure), providing that the amount is not more than £20.00, in which case, the expenditure must conform to the rules set out in Members' Meetings.

    The power to co-operate with other societies or organisations for the furtherance of the purpose of NBAS.

    The power to vote for:

    • election of members
    • election of committee members
    • election of co-opted members for special projects, special advisory purposes etc
    • extraordinary expenditure
    • anything which may not be covered above, but would ensure the fair and smooth running of NBAS
    The power to do all such other lawful things which are necessary for the achievement of the purpose of NBAS.

Membership

Membership is open to anyone paying the annual subscription, which is due on the 1st January each year, at a rate decided upon as set out in Members' Meetings.
New members joining after 30th June each year, are entitled to pay only half of the current annual subscription.

Every member shall have one vote, unless otherwise decided by the rules set out in Members' Meetings.

A unanimous vote may be undertaken by members, if for good reason, to terminate the membership of any individual, provided that the individual concerned shall have the right to be heard by the members, accompanied by a friend, before a final decision is made.

Visitors may attend up to two meetings in any one year without joining. A nominal charge may be made for each visit, but may also be waived at the discretion of the Chairman or any decision made as set out in Members' Meetings and Membership.

A register of members' names and contact details shall safely and securely be kept up to date by an appointed member of NBAS.

Members' Meetings
  • Honorary Members: NBAS shall be run by a committee of four members, consisting of a Chairman, a Treasurer and two other members. These members shall be declared at an Annual General Meeting (AGM) to be held annually.

  • Election of members: If there is more than one candidate for an office, there shall be a vote by the members present, of which the majority vote shall be adopted. If members voted equally for and against an election of a member, a casting-vote by the Chairman may be adopted.

    Each candidate for election should be proposed (moved) and seconded by different members, of whom should be present at that meeting.

    No member may propose more than one candidate for any position.

  • Co-opted Members: From time to time, when required to progress the purpose of NBAS, co-opted additional members may be brought in by the committee especially for their expert knowledge at a particular meeting etc. Co-opted members may be from inside or outside NBAS, but are not able to vote.

    • Retirement of Members: There is automatic retirement of members who:
    • wish to retire
    • are mentally incapable
    • who do not attend six consecutive meetings

  • Quorum for AGM: A quorum (minimum number of members entitled to be at a meeting) for voting at an AGM will be five members.

  • Quorum for Committee: A quorum (minimum number of members entitled to be at a meeting) of the committee shall be three.

For any general voting of any kind (except that for Expenditure or the Altering of the Constitution or Dissolution of NBAS), if a majority vote has not been reached, the Chairman may have the casting-vote.

For expenditure as set out in Powers, if more than £20.00 is to be spent, it must be agreed by at least two members of the committee.

Receipts and Expenditure

The Annual Accounts of NBAS shall be kept by the Treasurer and presented to members at the AGM.

Expenditure shall be as stated in Powers and Members' Meetings.

Altering the Constitution

Any changes to NBAS Constitution and any other decision affecting the running of NBAS, may be made by a majority vote of members at an AGM (Annual General Meeting) or EGM (Extraordinary General Meeting), called by the Chairman at the request of the committee or of at least five members. Each motion should be proposed and seconded by a member of NBAS.

Dissolution

NBAS can be dissolved by a majority vote of members present at an EGM called by the Chairman.

Funds shall first be paid to any creditor and then any surplus funds will be shared equally among any remaining members of two complete years standing.
